1. Agreement to Terms

By accessing or using our service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the service.

2. Description of Service

Instalent.ai provides artificial intelligence-powered tools for HR professionals, including but not limited to resume parsing, cataloging, and candidate analysis. We reserve the right to modify or discontinue the service with or without notice.

3. Accounts and Subscriptions

• You must provide accurate and complete information when creating an account.
• You are responsible for safeguarding the password that you use to access the service.
• Certain features of the service are billed on a subscription or pay-per-use basis ("Billing"). You will be billed in advance on a recurring and periodic basis.

4. Refund Policy

We want you to be satisfied with our service. Our explicit refund policy is as follows:

• Unconditional 24-Hour Refund: You may request a full, no-questions-asked refund within 24 hours of any purchase if you are unsatisfied. After this 24-hour period, purchases are generally non-refundable.
• System Errors: If a systemic processing failure occurs on our end (e.g., failed AI batch jobs), we will automatically refund the specific tool tokens utilized for that failed job to your account balance.

5. User Uploaded Content

You retain all of your ownership rights in your candidate resumes and data ("User Content"). By uploading User Content to Instalent.ai, you represent and warrant that you have the lawful right, permission, and/or consent to process this data. You grant us a limited license to process this data solely for the purpose of providing the service to you.

5. Acceptable Use

You agree not to use the service to:

• Upload or transmit any data that violates local, state, national, or international law.
• Attempt to reverse engineer, decompile, or hack the AI services or overall platform.
• Exceed standard rate limits maliciously (e.g., DDOS attacks).

6. Limitation of Liability

In no event shall Instalent.ai, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of Canada or the United States, without regard to its conflict of law provisions.
